Effective date: October 1, 2026
These Terms of Service (the “Terms”) govern your access to and use of the Pragmatic Fox website, accounts, checkout, support, and related online services (collectively, the “Services”), and purchases or subscriptions offered through them. The software products themselves are also governed by the separate Pragmatic Fox Universal End User License Agreement (“EULA”). Please read both documents before using or purchasing a product.
“Pragmatic Fox,” “we,” “us,” and “our” mean Andrew Ryan Cohen, an individual doing business as Pragmatic Fox. “You” means the individual using the Services or, if acting for an organization, that organization and its authorized users.
By using the Services, creating an account, or completing an order, you agree to these Terms. If you do not agree, do not use the Services or place an order. If you accept on behalf of an organization, you confirm that you have authority to bind it.
Pragmatic Fox currently offers tools for post-production workflows, including Elemental Bender, Difference Engine, AE Bridge, and BinCraft. Features, supported software and hardware, availability, purchase options, and eligibility may differ by product and version. Product pages and the checkout shown to you at the time of order describe the current offer.
The EULA governs your license to install and use software, including product-specific use limits and restrictions. These Terms govern the website, account, ordering, payment, subscription, and support relationship. If the EULA and these Terms conflict about software-use rights, the EULA controls. If an order confirmation or checkout disclosure gives a product-specific price, billing interval, trial, or renewal term, that disclosure controls for that order. Nothing in these Terms limits rights that cannot legally be waived.
You must be legally able to enter into a binding agreement where you live. You agree to provide accurate account and order information, keep your sign-in credentials secure, and promptly notify us if you believe your account has been accessed without permission. You are responsible for activity under your account, except to the extent caused by our failure to use reasonable security measures or otherwise required by law.
Some products or features require an account, email verification, license activation, or device registration. We may use account and device information to provide access, support, prevent unauthorized use, and enforce the applicable license. Do not share credentials or use another person’s account without authorization.
Products may be offered as recurring subscriptions, one-time purchases, beta access, or other offers stated at checkout. Before you submit an order, review the product, quantity, total due, applicable taxes, billing interval, trial terms, and any recurring payment terms displayed there. Your order is an offer to purchase; we may decline or cancel an order where permitted by law, including to address suspected fraud, an incorrect listing, or an unavailable product. If we cancel after taking payment, we will arrange an appropriate refund.
Payments are processed by the payment provider identified during checkout (currently Stripe). Your payment information is submitted to that provider and handled under its terms and privacy practices. We do not intend to receive or store full payment-card numbers. You authorize the payment provider to charge the payment method you select for the amounts and timing disclosed at checkout.
Prices and offers can change prospectively. A change will not alter an already-paid one-time order or a subscription term already in progress, except where you are informed and consent or applicable law permits otherwise. Taxes may be added or collected as required by law.
Some products are offered on a monthly or annual recurring subscription. The specific price, billing interval, trial length, amount due after a trial, and renewal date will be shown before you place the order. Eligible subscriptions may include a 14-day trial, but trial availability can depend on the product and whether the account has previously used a trial for that product. If the checkout says you are not eligible for a trial, billing may begin immediately upon purchase.
Unless the checkout says otherwise, a subscription automatically renews for successive periods matching the selected billing interval until canceled. By placing an order for a recurring subscription, you affirmatively authorize recurring charges at the disclosed amount and frequency, including applicable taxes, until cancellation. We will provide any renewal notices required by law.
You may cancel or manage a subscription through the account or billing controls provided for that purchase, or by contacting us at info@pragmaticfox.com if those controls are unavailable. Cancel before the next renewal date to prevent the next recurring charge. Unless the checkout or applicable law says otherwise, cancellation stops future renewals but does not itself refund a charge already made, and access ordinarily continues through the paid period. We will not describe a subscription as canceled until the cancellation is confirmed. If a cancellation is scheduled to take effect at the end of a paid period, the account may show that status and the scheduled end date.
Where a free trial converts to a paid subscription, cancel before the trial ends to avoid the first paid charge. We will make the trial end date and post-trial price available during checkout and in the account or confirmation information. We will not charge a different recurring amount without providing any notice and obtaining any consent required by law.
Products offered for a one-time fee are charged once at the price and quantity displayed at checkout. A one-time purchase does not renew unless the checkout clearly states otherwise. For example, BinCraft may be offered as a one-time purchase with named-editor license quantities; each license remains subject to its product license and the EULA. A one-time purchase does not by itself grant rights beyond those stated in the EULA or order confirmation.
Any product-specific refund, return, or cancellation terms shown at checkout or in an order confirmation apply to that order. Except where such terms or applicable law provide otherwise, we do not promise a refund solely because you stop using a product or cancel a subscription. Nothing in this section excludes or limits a refund, cancellation, warranty, or other consumer right that applicable law makes mandatory.
You may use the Services only for lawful purposes and in accordance with these Terms and the EULA. You may not interfere with or disrupt the Services; attempt unauthorized access; probe, scan, or test systems without permission; misuse another user’s account; submit malicious code; or use the Services to violate another person’s rights or applicable law. The EULA separately describes restrictions on copying, modifying, reverse engineering, or redistributing the software.
We may maintain, update, change, suspend, or discontinue all or part of the Services or a product. We will use reasonable efforts to keep account and purchase functions available, but do not promise uninterrupted or error-free operation. We may temporarily suspend access where reasonably needed to address security, abuse, legal compliance, or an outage. Where practicable, we will give notice and a chance to address the issue. This does not reduce any refund or other remedy required by law.
The products are designed for post-production workflows and may process project files, bins, media references, metadata, or other materials locally on your device, as described on the product page and in the privacy policy. You are responsible for keeping backups, checking outputs before relying on them, and ensuring you have the rights and permissions needed for materials you use. Unless a product expressly says otherwise, you retain your rights in your own files and work; these Terms do not transfer ownership of them to us.
Some products may contact our services for account, license, update, or support functions, and certain product or device information may be processed for those purposes. See the Privacy Policy for details. Do not submit confidential media or project materials through support unless we have agreed on an appropriate method.
The Services, software, branding, and related materials are owned by Pragmatic Fox or its licensors and are protected by intellectual-property laws. Except for the limited rights expressly granted in the EULA or a purchase offer, no rights are granted by these Terms. “Avid,” “Adobe,” “Apple,” and other third-party names and marks belong to their respective owners; references do not imply sponsorship or endorsement.
If you choose to send suggestions or feedback, you allow us to use them without restriction or payment, provided we do not identify you publicly without permission. You are not required to provide feedback.
Our Privacy Policy explains how information is collected, used, retained, and shared in connection with the Services and products. The Privacy Policy is incorporated by reference. By using the Services, you acknowledge that you have had an opportunity to review it. If you have privacy questions or requests, use the contact details in the Privacy Policy.
The Services may rely on or link to third-party services, including account authentication, hosting, payment, or platform services. Those services are governed by their own terms and privacy policies. We are not responsible for third-party services that we do not control, but this does not limit any responsibility that applicable law places on us.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES SUCH AS MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT WHERE SUCH DISCLAIMERS ARE NOT PERMITTED. WE DO NOT WARRANT THAT A PRODUCT WILL BE UNINTERRUPTED, ERROR-FREE, COMPATIBLE WITH EVERY SYSTEM OR VERSION, OR SUITABLE FOR A PARTICULAR WORKFLOW. PRODUCT MATERIALS ARE INFORMATIONAL AND DO NOT REPLACE YOUR OWN REVIEW, TESTING, BACKUPS, OR PROFESSIONAL JUDGMENT.
Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you. Nothing here limits a non-waivable statutory warranty or consumer protection.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAGMATIC FOX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES, SOFTWARE, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAGMATIC FOX’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PRAGMATIC FOX FOR THE RELEVANT PRODUCT OR SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.
These limits do not apply to liability that cannot legally be limited, including any non-waivable consumer rights, or to liability for fraud, willful misconduct, or other liability that applicable law prohibits us from excluding or limiting. Some jurisdictions do not allow the exclusions or limits above; in those jurisdictions, they apply only to the extent permitted by law.
You may stop using the Services at any time. You may close an account by using available account controls or contacting us. Closing an account does not automatically cancel a separately managed subscription; cancel the subscription as described in Section 4. We may suspend or terminate your access for a material breach of these Terms or the EULA, suspected fraud, security risk, or legal requirement. Where reasonable and lawful, we will provide notice and an opportunity to resolve the issue. Termination does not affect rights or obligations that accrued before termination, including payment obligations or provisions that by their nature should survive.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except that mandatory consumer-protection laws where you live continue to apply when required. Subject to any non-waivable right to bring a claim elsewhere, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over disputes arising from these Terms or the Services, and each party consents to that jurisdiction and venue.
We may update these Terms to reflect changes to the Services, products, or law. We will post the revised Terms with a new effective date and, when required by law or appropriate for a material change, provide additional notice. Changes apply prospectively and will not retroactively alter a completed purchase. If you do not agree to a change, stop using the affected Services; any subscription cancellation remains subject to Section 4 and applicable law. Continued use after an updated effective date constitutes acceptance only to the extent permitted by law.
If a provision is unenforceable, it will be modified only as much as needed to make it enforceable, and the remaining provisions will stay in effect. A failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a business reorganization or transfer of the relevant Services, subject to applicable law. These Terms, together with the EULA, Privacy Policy, and order-specific terms, are the entire agreement about their respective subjects and replace prior statements about those subjects. If there is a conflict, Section 1 explains which document controls.
